Section 1:

The Executive Committee shall consist of the officers of the Association and is so constituted to recognize that the day-to-day conduct of the affairs of the Association may require prompt action that would be difficult to accomplish by the full Board of Directors. The President may appoint one of the members as the Parliamentarian.

Section 2:

The Executive Committee shall not assume authority in matters requiring action by the full Board of Directors, except in an emergency. Such actions taken by the Executive Committee shall be approved at the next meeting of the Board of Directors, or by email, fax, U.S. Postal Service.
